1. Acceptance of Terms & Account Verification
By creating a production account at ://retailhour.bigheadgh.com, installing the background Desktop Print Tray Plugin, or executing sales through our Express/Angular software pipeline, you ("the Merchant", "the Client") agree to follow and be legally bound by these Terms & Conditions. If you do not accept these criteria, you are strictly prohibited from utilizing the Platform infrastructure.
2. Scope of Service & Software Provision
RetailHour ERP provides a continuous cloud-hosted business ecosystem covering multi-terminal POS, inventory trackers, HR modules, accounting books, and localized tax engines. Services are accessed remotely over public cloud data links. We reserve absolute rights to modify, enhance, or adjust software layers, endpoint pathways, or layout interfaces via automatic background patch updates without prior merchant approval.
3. Subscription billing, Fees & Payment Clearances
Access to the software platform requires a valid, pre-paid recurring subscription configuration. All processing fees are calculated in Ghana Cedis (GHS) or localized equivalents and are completely non-refundable after clearance. Failure to clear monthly subscription fees results in automatic account suspension within 5 calendar days of maturity, locking terminal registers until the balance is paid.
4. Acceptable System Utilization & Accountability
The Merchant assumes 100% legal responsibility for all activities occurring under their login credentials. Merchants explicitly agree never to exploit system endpoints, run malicious request floods, or alter background printer executable bin codes. The software must not be used to track fraudulent inventory transactions or illegal trades.
5. Local Desktop Hardware Disclaimer
The RetailHour Desktop Print Tray Plugin utilizes direct native operating system scripts (such as copy /b or PowerShell pipelines) to forward raw ESC/POS commands directly to your USB thermal receipt hardware. While we build absolute failsafes into our code, the Company assumes no liability for hardware damage, corrupted local printer spoolers, or cash drawer mechanism failures caused by faulty device drivers or system power dropouts.
6. Limitation of Liability & Warranty Boundaries
THE PLATFORM INFRASTRUCTURE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASELINE WITHOUT WARRANTIES OF ANY FLAVOR. BigHEAD Technologies Gh Ltd explicitly disclaims all liability for loss of merchant revenue, reported missing inventory variances, bookkeeping entry errors, or unexpected business downtime caused by local connection failures or remote cloud latency drops. Total liability under this contract can never exceed the aggregate amount physically paid by the Merchant in the single month directly preceding the claim event.
7. Intellectual Property Protections
All database scripts, compiled Angular files, backend route configurations, raw binary ESC/POS layout maps, graphics, and source codes are the exclusive property of BigHEAD Technologies Gh Ltd. You receive a limited, revocable, non-transferable, and non-exclusive operating seat licence. Any attempts to reverse-engineer, clone, or copy the data mapping architectures will result in immediate termination and legal action under intellectual property laws.
8. Governing Law & Dispute Resolutions
This SaaS operating agreement is governed by and construed in total compliance with the laws of the Republic of Ghana. Any legal disputes or claims arising out of the performance of these terms must first be submitted to arbitration in Accra, Ghana, before filing any formal court cases.
